- Payments. Subscriptions renew automatically via Stripe. The Client may cancel before the next renewal to avoid additional charges.

1. Purpose and acceptance
1.1 Purpose
These Terms and Conditions of Service (hereinafter, the "Terms") govern access to and use of the Camaleonic Survey service (hereinafter, the "Service"), a software-as-a-service (SaaS) platform for the creation, distribution, collection, and analysis of surveys, provided by:
Camaleonic ads 2020 S.L., a Spanish company (European Union) operating under the trade name Camaleonic Survey.

Hereinafter, "Camaleonic Survey", "we", or "the Provider".
The individual or legal entity that contracts the Service shall be referred to as the "Client" or "you".
1.2 Acceptance
By registering, activating an account, or using the Service, the Client represents that they have read, understood, and fully accepted:
- These Terms and Conditions of Service.
- The Privacy Policy (available at `/legal/privacidad`), applicable to the Client's own data.
- The Data Processing Terms (available at `/legal/condiciones-tratamiento-datos`), applicable to the personal data of respondents that the Client collects through the Service.
If the Client acts on behalf of an organization, the Client represents that they have the authority to bind it to these Terms.
Acceptance is expressed by checking the checkbox provided for that purpose during the registration process and/or through actual access to and use of the Service. Such electronic acceptance constitutes a valid and binding declaration of intent under arts. 23 and 27 of Ley 34/2002 (LSSI-CE) (the Spanish Information Society Services and Electronic Commerce Act) and Regulation (EU) 910/2014 (eIDAS). The Provider will keep a record of the date, time, and text of the Terms in force at the time of acceptance, for evidentiary purposes.
1.3 Capacity to contract
The Service is intended for businesses, organizations, and professionals contracting within the scope of their economic or professional activity (B2B). In the event that an individual contracts as a consumer within the meaning of art. 3 of Real Decreto Legislativo 1/2007 (TRLGDCU) (the Spanish consolidated text of the General Law for the Protection of Consumers and Users), that individual shall retain, on a non-waivable basis, the rights recognized under consumer protection law, in particular the fourteen (14) calendar-day right of withdrawal under art. 102 TRLGDCU, on the terms and subject to the exceptions detailed in clause 5.8, as well as protection against unfair contract terms. In matters not expressly provided for consumers, the mandatory rule most favorable to them shall prevail.
2. Description of the Service and subscription
2.1 Description of the Service
Camaleonic Survey is a SaaS platform that allows the Client to:
- Create surveys with questions of different types (multiple choice, free text, scale, NPS, etc.).
- Distribute surveys via link or embedded code (embed); email invitations will be offered when they become available.
- Collect responses from participants and view results in real time.
- Export response data in standard formats.
- Access additional features depending on the contracted plan (number of surveys, responses, team users, integrations, and AI-assisted features, when available).
The features available at any given time may vary depending on the contracted plan and the evolution of the Service. Features identified as beta or in a testing phase are governed by clause 2.4.
2.2 Plans and subscription
The Service is provided through subscription plans (monthly or annual), the description, features, and current prices of which are available on the pricing page of the website.
- Automatic renewal. Subscriptions renew automatically at the end of each period (monthly or annual), unless cancelled beforehand by the Client.
- Plan changes. The Client may upgrade or downgrade their plan at any time from the control panel. Upgrades take effect immediately; downgrades apply at the start of the next billing period.
- Free trial period. If Camaleonic Survey offers a trial period, its specific terms (duration, available features, automatic conversion to a paid plan) will be disclosed at the time of registration.
Where the Provider offers a free trial period, its duration and scope will be disclosed clearly and in advance at the time of registration. Unless otherwise indicated, once the trial period ends the subscription will automatically convert into a paid plan, subject to the Client's express authorization for recurring billing in accordance with the Strong Customer Authentication (SCA) requirements of Directive (EU) 2015/2366 (PSD2) and Stripe's applicable rules. The Client may cancel before conversion to avoid incurring any charge.
2.3 Modifications to the Service and to plans
Camaleonic Survey may modify the Service's features or introduce new plans. Changes that negatively affect the features included in the Client's active plan will be communicated at least 30 calendar days in advance, by email to the account and/or notice in the control panel, offering the Client the option to cancel without penalty if the modification is not acceptable to them. This communication is made without prejudice to the provisions of art. 26 of Ley 34/2002 (LSSI-CE) and consumer protection regulations where applicable.
2.4 Beta features and gradual rollout
Camaleonic Survey may offer features identified as beta, experimental, or early access. These features are provided "as is", may contain errors, may be modified or withdrawn without the warranties or advance notices applicable to the rest of the Service, and may never be incorporated on a permanent basis.
Likewise, some features are rolled out gradually: they apply to each account when they become available on that account, and their description on the website or in the documentation does not imply that they are active for all clients at all times.
3. Client account
3.1 Registration and accuracy
To use the Service, the Client must create an account by providing truthful, complete, and up-to-date information. Camaleonic Survey may verify this information and suspend accounts registered with false or fraudulent data.
3.2 Security of credentials
The Client is responsible for:
- Maintaining the confidentiality of their access credentials (email and password).
- Controlling the access of their users (team members) within the platform.
- Notifying Camaleonic Survey immediately in the event of suspected unauthorized access: [email protected].
Camaleonic Survey will not be liable for damages arising from unauthorized use of the Client's credentials where the Client has not adopted reasonable security measures.
3.3 Organization users
The account holder may add additional users (team members) subject to the limit of the contracted plan. The account holder assumes responsibility for the actions taken by such users within the platform. The account holder must ensure that users accept these Terms before accessing the Service.
3.4 Minors' accounts
The Service is not directed at minors under sixteen (16) years of age, who may not register as account holders or as users. Persons over sixteen (16) years of age who have not reached the age of majority may only use the Service with the authorization and under the responsibility of their legal representatives. Contracting paid plans requires, in all cases, full capacity to contract. Camaleonic Survey may close accounts that breach this clause.
4. Acceptable and prohibited use
4.1 Client responsibility for content
The Client is the sole party responsible for the content of their surveys: questions, instructions, answer options, logic, distribution, and the purposes for which they use the collected data.
In particular, the Client represents and warrants that:
- They have a valid legal basis for collecting the personal data they request from respondents (arts. 6 and, where applicable, 9 GDPR).
- They have informed respondents of the processing of their data in accordance with arts. 13-14 GDPR.
- They comply with the regulations applicable in the jurisdiction of their respondents (GDPR, LSSI-CE, sector-specific regulations, etc.).
- They have obtained express and informed consent where that is the applicable legal basis, including for electronic commercial communications under art. 21 of the LSSI-CE.
Regarding the relationship between the Client and Camaleonic Survey concerning respondent data (Controller/Processor role model), the provisions set out in the Data Processing Terms available at `/legal/condiciones-tratamiento-datos` shall apply.
4.2 Prohibited uses
It is expressly prohibited to use the Service to:
- Collect respondent data without a valid legal basis or without having duly informed them.
- Create surveys intended for deception, scams, or fraud.
- Spam: send survey invitations to recipients who have not given their consent or with whom there is no prior lawful relationship under applicable regulations.
- Collect special categories of data (health, political opinions, religion, sexual orientation, biometric/genetic data, etc.) without the enhanced legal basis required by art. 9 GDPR and without informing Camaleonic Survey.
- Collect data from minors under 14 years of age (or the applicable digital consent age in the respondent's jurisdiction) without the consent of their legal representatives.
- Distribute illegal, defamatory, discriminatory, or obscene content, or content that incites hatred or violence.
- Carry out activities that jeopardize the security, integrity, or availability of the platform (attacks, automated mass scraping, malicious code injection, etc.).
- Impersonate another organization or person.
- Resell or sublicense access to the Service to third parties without Camaleonic Survey's express authorization.
- Breach any applicable law or regulation.
These uses are further developed in the Acceptable Use Policy (`/legal/uso-aceptable`), which forms part of these Terms; in the event of conflict between the two documents, these Terms shall prevail.
4.3 Reasonable use (fair use)
The artificial intelligence features and, in general, the capacity of the platform are subject to reasonable use, understood as the use typical of an organization employing the Service for its ordinary research and analysis purposes within the limits of its plan. In particular, the following are considered contrary to reasonable use:
- The automated or systematic extraction of data, content, or results from the platform or from the AI features.
- Artificial inflation of usage (repetitive requests, script-generated requests, or requests with no real purpose).
- The resale or making available to third parties of the AI capacity or of the platform as if it were the Client's own service.
- Usage patterns that, due to their volume or frequency, degrade the performance of the Service for other clients or significantly exceed the average usage patterns of the contracted plan.
In these cases, Camaleonic Survey may limit the speed of requests (throttling) or temporarily suspend the affected feature, giving advance notice where reasonably possible and endeavoring to limit the scope and duration of the measure to what is strictly necessary.
4.4 Consequences of breach
Breach of the acceptable use provisions or of the reasonable use provisions may result in the suspension or termination of the account pursuant to clause 9, without prejudice to any legal liability the Client may incur.
5. Payments, billing, taxes, refunds, and non-payment
5.1 Payment processor
Payments are processed through Stripe (Stripe Payments Europe, Ltd.), an external payment services provider. By entering their card details, the Client also accepts Stripe's terms of use. Camaleonic Survey does not store credit card data: this is managed entirely by Stripe in compliance with PCI-DSS.
5.2 Billing and renewal
- Subscriptions are billed in advance at the start of each period (monthly or annual).
- Stripe will attempt automatic charging on the renewal date. If the charge fails, Stripe will retry according to its standard policy (typically 3 retries over several days).
- Camaleonic Survey will issue an electronic invoice for each charge to the account's email address.
The Provider will issue an invoice for each charge, which will be sent to the account's email address and/or made available in the control panel in electronic format. The Provider will adapt the format and timing of invoicing to the electronic invoicing obligations that become applicable under Ley 18/2022 (Crea y Crece) (the Spanish "Create and Grow" Act) and its implementing regulations, as they enter into force.
5.3 Taxes
The prices indicated may not include applicable taxes (VAT or other). The applicable VAT will be determined based on the Client's jurisdiction and will be itemized on the invoice. The Client is responsible for compliance with their own tax obligations.
To this effect: (i) business clients established in other EU Member States who provide a VAT identification number valid in the VIES system will, where applicable, be subject to the reverse charge mechanism; (ii) clients established outside the EU will be billed in accordance with the applicable place-of-supply rules for electronically supplied services; and (iii) clients established in Spain will be charged VAT at the rate in force. The Provider will determine the VAT treatment in accordance with Directive 2006/112/EC, the Spanish regulations transposing it, and, where applicable, the One-Stop Shop (OSS) scheme. The Client is responsible for the accuracy of the tax data they provide.
5.4 Price changes
Camaleonic Survey may modify plan prices with a minimum notice period of 30 calendar days, by email notification to the Client's account. If the Client does not accept the new price, they may cancel their subscription before the next renewal.
5.5 Refunds
- Monthly subscriptions: no refunds are issued for the current, already-billed period, except in the event of an error by Camaleonic Survey.
- Annual subscriptions: except for any right of withdrawal that consumers may be entitled to and cases of error attributable to the Provider, annual fees paid are non-refundable. Cancellation during the annual period stops automatic renewal, with the Client retaining access to the Service until the end of the already-paid period.
- Camaleonic Survey will fully refund any charges made due to a technical error attributable to Camaleonic Survey.
5.6 AI credits and top-ups
Artificial intelligence features are governed by the AI Credits Policy, which forms part of these Terms. Each plan includes the allowance stated in that policy. Included credits renew by cycle and do not roll over; credits purchased through a top-up do not expire, are consumed after the plan allowance, and remain linked to the account while it stays active.
Top-ups are purchases separate from the subscription. Their price, applicable taxes, and number of credits are shown before payment. Where the buyer is a consumer and requests immediate performance, before confirming the purchase they must expressly consent to performance beginning and acknowledge that the right of withdrawal is lost once performance begins, in accordance with Article 103(m) of Spanish Royal Legislative Decree 1/2007. Camaleonic Survey will keep a record of that acceptance and will provide confirmation of it on a durable medium.
Fate of credits upon termination of the relationship. Unless mandatory law provides otherwise:
- Voluntary closure of the account by the Client: purchased credits not yet consumed may be used during the thirty (30) calendar days following the closure request; once that period has elapsed, they will be lost without any right to compensation.
- Suspension for cause or for non-payment: credits (included and purchased) will be frozen for the duration of the suspension and will become available again if the account is reactivated.
- Discontinuation of the Service by decision of Camaleonic Survey: the proportional part of purchased credits not yet consumed will be refunded, or an equivalent remedy will be offered.
- Credits included in the plan: under no circumstances do they survive termination of the contract, nor are they redeemable for money.
5.7 Non-payment and suspension for non-payment
If the charge cannot be completed after Stripe's retries:
- Camaleonic Survey will send a notice to the Client by email.
- After 7 days from the first notice without the payment being regularized, Camaleonic Survey may suspend access to the Service (read-only mode or blocked access).
- After an additional 30 days of non-payment, Camaleonic Survey may terminate the contract and proceed in accordance with clause 9 (data export and deletion).
Notices of warning, suspension, and termination will be sent in a verifiable manner to the account's email address, with a record kept of their dispatch.
5.8 Right of withdrawal (consumers)
Where the Client is a consumer within the meaning of art. 3 TRLGDCU:
- Subscriptions. The consumer has a period of fourteen (14) calendar days from contracting to withdraw without needing to give any justification. If the consumer expressly requests that provision of the Service begin during the withdrawal period and withdraws within that period, they will pay only the proportional part of the service actually provided up to the communication of the withdrawal, and the remainder will be refunded. The right of withdrawal is lost only where the service has been fully performed, provided that performance began with the consumer's prior express consent and with their acknowledgment that they would lose the right once the contract had been fully performed (art. 103.a TRLGDCU). Where provision is to begin during the withdrawal period, Camaleonic Survey will obtain that express request from the consumer and will provide them with confirmation of the contract, including that consent, on a durable medium.
- AI credit top-ups. As these constitute digital content or a digital service performed immediately, before payment the consumer's prior express consent to begin performance is requested, together with their acknowledgment that the right of withdrawal is lost once performance begins (art. 103.m TRLGDCU). The purchase process records that acceptance and provides confirmation of it on a durable medium. The AI Credits Policy (`/legal/ia-creditos`) also applies.
- Exercise. To exercise the right of withdrawal, an unequivocal statement addressed to [email protected] within the period suffices. The refund will be made using the same means of payment used, within a maximum of fourteen (14) calendar days from the communication of the withdrawal.
6. Intellectual property
6.1 Camaleonic Survey's ownership
The Camaleonic Survey platform, including its source code, design, interfaces, algorithms, brand, logos, and documentation, is the exclusive property of Camaleonic Survey or its licensors. These Terms do not grant the Client any ownership right over the platform.
Camaleonic Survey grants the Client a non-exclusive, non-transferable, and revocable license to use the Service, to access and use it for the duration of the contract and within the limits of the contracted plan.
6.2 Client's ownership
The Client retains full ownership of:
- The content of their surveys (questions, design, logic, text).
- The response data collected through the Service.
- The analyses and reports generated from their surveys.
The Client grants Camaleonic Survey a limited, non-exclusive, royalty-free license to host, store, and process such content solely for the purpose of providing the Service.
Camaleonic Survey will not use the content of the Client's surveys or response data for its own purposes (analysis, model training, or marketing), unless the Client expressly authorizes it or the use consists of the preparation of aggregated and anonymized statistics on the terms set out in the Privacy Policy, such that they never identify individuals or reveal individual responses.
6.3 Outputs of artificial intelligence features
The Service offers AI-assisted features (for example, question generation, free-text analysis, or results summarization). Some of these features are rolled out gradually and apply when they become available on the Client's account (clause 2.4).
- Outputs generated by AI based on the Client's surveys and data will be owned by the Client, under the same terms as the rest of their content (clause 6.2). However, such ownership is understood subject to the limitations arising from art. 5 of Real Decreto Legislativo 1/1996 (Ley de Propiedad Intelectual) (the Spanish Intellectual Property Act), which reserves author status for natural persons, meaning outputs generated autonomously by AI systems may not enjoy independent copyright protection.
- Outputs generated by AI may contain errors, inaccuracies, or omissions. Camaleonic Survey does not guarantee their accuracy, completeness, or fitness for any purpose. Such outputs do not constitute professional advice (legal, financial, medical, or of any other kind), and the Client is responsible for reviewing and validating them before using them or basing decisions on them.
- The AI inference providers used by the Service are identified in the list of sub-processors (`/legal/subencargados`) and in the Data Processing Terms. Those providers may not use the Client's data to train their own models, unless expressly agreed otherwise in the Data Processing Terms. Where a provider is established outside the European Economic Area, any international data transfers arising from the use of these features will be safeguarded by the Standard Contractual Clauses approved by the European Commission (Implementing Decision (EU) 2021/914), together with any supplementary measures as appropriate, on the terms detailed in the Data Processing Terms.
- Camaleonic Survey will comply with the transparency obligations regarding content generated or manipulated through AI required under Regulation (EU) 2024/1689 (the Artificial Intelligence Act) as they become applicable.
- Consumption associated with the AI features is governed by the AI Credits Policy (`/legal/ia-creditos`) and by clause 5.6.
7. Service availability and maintenance
7.1 General availability
Camaleonic Survey will make commercially reasonable efforts to keep the Service available. However, it does not guarantee uninterrupted 100% availability. The Service may experience interruptions due to technical causes, scheduled maintenance, incidents at third-party providers (infrastructure, network), or force majeure events.
7.2 Service level commitments (SLA)
The Provider will make commercially reasonable efforts to maintain high availability of the Service, but does not guarantee uninterrupted availability or a specific uptime percentage, unless a Service Level Agreement (SLA) specific to certain plans is expressly agreed in writing. In all cases, the availability calculation excludes scheduled maintenance, force majeure events, incidents at third-party infrastructure providers, and causes attributable to the Client or their connectivity. Where an SLA is agreed, it will set out the availability targets, measurement methods, and any applicable compensation (service credits), which shall constitute the Client's sole and exclusive remedy for unavailability of the Service.
7.3 Scheduled maintenance
Camaleonic Survey will endeavor to carry out any maintenance that involves interruption of the Service during low-impact hours and will communicate it with reasonable advance notice (whenever possible, at least 48 hours in advance) through the control panel or by email.
7.4 Limitation of liability for unavailability
Except in the event of breach of an agreed SLA, Camaleonic Survey will not be liable for direct or indirect damages caused by interruptions of the Service beyond its reasonable control.
8. Warranties and limitation of liability
8.1 Camaleonic Survey's warranties
Camaleonic Survey warrants that:
- The Service will be provided with reasonable diligence and professional competence.
- The Service does not infringe third-party intellectual property rights of which Camaleonic Survey is aware.
- It will implement and maintain security measures appropriate to the risk of the processing, in accordance with art. 32 GDPR and the Data Processing Terms.
8.2 Exclusion of other warranties
To the extent permitted by applicable law, the Service is provided "as is" and "as available". Camaleonic Survey grants no additional warranty, express or implied, in particular regarding:
- The suitability of the Service for a specific purpose of the Client.
- The accuracy or completeness of survey results.
- The absence of errors, viruses, or interruptions.
This exclusion does not affect the rights that the law grants to consumers on a non-waivable basis, nor Camaleonic Survey's liability for willful misconduct or gross negligence.
8.3 Limitation of liability
To the extent permitted by Spanish law, the Provider's total and cumulative liability to the Client for any claim arising out of or related to the Service or these Terms shall be limited to the amount actually paid by the Client as a subscription fee during the twelve (12) months preceding the event giving rise to the liability. The Provider shall under no circumstances be liable for indirect damages, loss of profit, loss of business opportunities, loss of data not attributable to the Provider, or consequential damages.
The foregoing limitations and exclusions shall not apply in cases where the law does not permit their limitation, in particular: willful misconduct or gross negligence of the Provider, damages to a person's life or physical integrity, liability towards data subjects under art. 82 GDPR, or the non-waivable rights that consumer protection regulations grant to consumers. The limitations of liability in this clause reflect a reasonable and proportionate allocation of risk consistent with the agreed consideration, in accordance with arts. 1101, 1103, 1107, and 1255 of the Código Civil (the Spanish Civil Code).
Where any of the foregoing exclusions or limitations is not permitted by applicable law, the Provider's liability shall be limited to damages that are a reasonably foreseeable consequence of the failure to exercise reasonable diligence and professional competence or that arise directly from a material breach of these Terms. Nothing in these Terms limits or excludes the rights that consumer protection law grants to consumers on a non-waivable basis.
8.4 Indemnity (business clients)
If the Client acts as a business or professional, the Client shall hold Camaleonic Survey harmless against third-party claims (including reasonable defense costs) arising from the use of the Service by the Client or their users in breach of these Terms, the Acceptable Use Policy, or the law, to the extent that the claim is caused by the conduct of the Client or their users. Camaleonic Survey will notify the Client of the claim without undue delay and will allow the Client to participate reasonably in the defense. This clause does not apply to Clients who are consumers.
9. Term, termination, and effects
9.1 Term
The service contract will remain in force for the active subscription period and will renew automatically in accordance with clause 2.2, unless cancelled.
9.2 Cancellation by the Client
The Client may cancel their subscription at any time from the control panel or by contacting [email protected]. Cancellation will take effect at the end of the current billing period, without refund of the amount already paid (except as indicated in clause 5.5).
9.3 Suspension and termination by Camaleonic Survey
Camaleonic Survey may suspend, in whole or in part, the Client's access to the Service where any of the following grounds applies:
- Material breach of these Terms or of the Acceptable Use Policy not remedied after notice to do so.
- Non-payment not regularized in accordance with clause 5.7.
- Use of the Service that creates legal liability for Camaleonic Survey or disrupts the use of the Service by other clients.
- The investigation of suspected fraudulent or unlawful use of the account.
- A requirement of the law or of a competent authority.
Whenever reasonably possible, Camaleonic Survey will give advance notice, give the Client the opportunity to remedy the situation and to obtain a copy of their content, and endeavor to limit the scope and duration of the suspension to what is strictly necessary.
Camaleonic Survey may also terminate the contract and cancel the Client's access:
- For cause (with immediate effect): serious breach of the Terms (prohibited use, fraud, unlawful activity) or non-payment not regularized in accordance with clause 5.7.
- By unilateral decision (with 30 calendar days' notice): discontinuation of the Service or restructuring of the plans. In this case, unused fees for the paid period will be prorated, the proportional part of purchased AI credits not yet consumed will be refunded (or an equivalent remedy will be offered, in accordance with clause 5.6), and the Client will be offered the option to export their data.
9.4 Effects of termination: data export and deletion
Upon termination of the contract, regardless of the cause:
- Export period. For 30 calendar days from the date of termination, the Client may request the export or return of their surveys, settings, and response data in a standard format (CSV, JSON, or another available format), in accordance with clause 5.7 of the Data Processing Terms. Where technically possible, Camaleonic Survey may additionally provide read-only access during that period.
- Data deletion. Once the export period has elapsed, Camaleonic Survey will delete the Client's data from its active systems, subject to the Data Processing Terms (clause 5.7) for respondent data and to the Privacy Policy for account data.
- Retention exceptions. Camaleonic Survey may retain data for the duration of the contract and, after its termination, for the period legally required to address liabilities, in particular: accounting and commercial records and documentation for six (6) years under art. 30 of the Código de Comercio (the Spanish Commercial Code), and data with tax relevance for four (4) years under art. 66 of Ley 58/2003 General Tributaria (the Spanish General Tax Act). At the Client's request, the Provider may certify the deletion of data once the applicable retention periods have elapsed.
- AI credits. The fate of AI credits (included and purchased) upon termination of the relationship is governed by clause 5.6 and by the AI Credits Policy (`/legal/ia-creditos`).
10. Data protection
The protection of personal data is governed by two separate instruments depending on the type of data:

These Terms refer entirely to both documents and do not reproduce them, in order to avoid duplication. In the event of conflict between these Terms and the Data Processing Terms regarding respondent data, the Data Processing Terms shall prevail.
The Client, as Controller of the processing of respondent data, accepts and undertakes to comply with the obligations described in the Data Processing Terms, in particular those relating to the legal basis for processing, the information provided to respondents, and the lawfulness of the survey content.
11. Modifications to the Terms
Camaleonic Survey may modify these Terms at any time. Material modifications that are adverse to the Client (including, where they are detrimental to the Client, changes to prices, to AI credit allowances, or to the credit consumption criteria) will be communicated at least 30 calendar days before they take effect through:
- Notification by email to the account's address and/or notice in the control panel.
- Publication of the updated text of the Terms on the website, indicating the effective date.
If the Client does not accept the modifications, they may cancel their subscription before the effective date without penalty. Continued use of the Service after that date implies acceptance of the new Terms.
Modifications that are favorable to the Client (for example, increases in allowances or reductions in credit consumption) and those resulting from mandatory regulatory changes may take effect immediately, with simultaneous notification or through publication of the updated version.
12. Governing law and jurisdiction
These Terms are governed by and construed in accordance with Spanish law and, to the extent applicable, European Union law.
For the resolution of any dispute arising out of or related to these Terms, the parties submit, with express waiver of any other jurisdiction that might otherwise correspond to them, to the courts and tribunals of the registered office of Camaleonic ads 2020 S.L., unless mandatory law provides otherwise. In particular, where the Client is a consumer, jurisdiction shall lie with the forum mandatorily determined by consumer protection legislation (art. 90.2 TRLGDCU and art. 52 LEC (the Spanish Civil Procedure Act)), and the law of the consumer's habitual residence shall apply under the terms of Regulation (EC) 593/2008 (Rome I) and Directive 93/13/EEC. Consumers may use any recognized out-of-court dispute-resolution mechanism that applies to them, without prejudice to their right to bring a claim before the competent courts.
13. General provisions
13.1 Partial invalidity
If any provision of these Terms is declared null or unenforceable by a competent court, the remainder of the Terms will remain in force to the extent possible.
13.2 Waiver
Camaleonic Survey's failure to exercise any right provided for in these Terms shall not constitute a waiver of that right for the future.
13.3 Entire agreement
These Terms, together with the Privacy Policy, the Data Processing Terms, and any specific Service Order or Agreement signed between the Parties, constitute the entire agreement between Camaleonic Survey and the Client with respect to the subject matter regulated herein, and supersede any prior agreement, whether oral or written, on the same subject matter.
13.4 Assignment
The Client may not assign their rights or obligations under these Terms to a third party without the prior written consent of Camaleonic Survey. Camaleonic Survey may assign its rights and obligations in the event of a merger, acquisition, or sale of assets, notifying the Client at least 30 calendar days in advance.
13.5 Force majeure
Neither Party shall be liable for failure to perform its obligations where this results from causes beyond its reasonable control (force majeure), including natural disasters, widespread Internet infrastructure failures, cyberattacks on key providers, strikes, or government decisions, provided that the affected Party notifies the other without delay and makes reasonable efforts to mitigate the impact.
13.6 Export controls and sanctions
The Client represents that neither the Client nor their users are located in a country or territory subject to an embargo or to European Union sanctions, and that they do not appear on European Union or United Nations lists of sanctioned persons or entities. The Client undertakes not to use the Service, or to allow it to be used, in contravention of the export control and international sanctions regulations that may apply.
